Terms of Service

These terms of service (hereinafter, the "terms and conditions") govern your access to and use of the GreenBee mobile application ("app"), the GreenBee website and the related services, features and content that we make available (together, the "service").

The service is provided by Lookatel B.V. (hereinafter, "GreenBee", "we", "us" or "our"), company registration number 34152483, with its registered office at Herengracht 49, 1015 BC Amsterdam, The Netherlands.

Any written notification with regard to the terms and conditions can be sent to the registered office of GreenBee, or by email to hello@greenbee.app.

Please read the following carefully:

Before creating an account in the GreenBee app, each user must carefully read the GreenBee terms and conditions, the privacy policy, and our methodology that explains in more detail how GreenBee's product comparisons, filters, scores, and indicators work.

By creating a GreenBee account or using the service, you agree to these terms and conditions. If you do not agree, please do not use the service.

The GreenBee terms and conditions are subject to Dutch law.

1. What GreenBee does

GreenBee is a shopping information and comparison service designed to help consumers understand and compare grocery purchases.

Depending on the version of the service and the features available in your country, GreenBee may allow you to:

• Photograph a paper grocery receipt or select a previously captured receipt.
• Submit or import information from an electronic or PDF receipt.
• Extract and interpret receipt information using optical character recognition and related product-identification technology.
• Identify grocery products and associate them with product information such as brand, product category, barcode or GTIN, package size and other metadata.
• Display nutrition information, ingredients, additives, processing information, Nutri-Score and similar product information.
• Display environmental information, including Eco-Score and related indicators.
• Display information concerning ingredients, packaging, plastics or intentionally added microplastics where such data is available.
• Compare the price you paid with prices or price indicators for the same or similar products at other retailers.
• Apply preferences and filters selected by you, such as price, nutrition, environmental impact, organic status, origin or other product characteristics.
• Rank or organise products according to those selected preferences.
• Suggest alternative products which appear to better match your selected preferences.
• Display previous receipts, purchases, product matches or related shopping information.

The precise functionality of GreenBee will develop over time. Some functions may be experimental, available only to selected users, limited to certain retailers or countries, or introduced, changed or removed as the service develops.

2. The GreenBee mission and independence

GreenBee is an information and comparison tool. GreenBee helps you evaluate information. GreenBee does not sell the grocery products shown in the service and does not make the purchasing decision for you.

Unless we expressly state otherwise:

• GreenBee is not a supermarket, retailer, manufacturer, distributor or seller of the products displayed.
• GreenBee is not acting as an agent of a supermarket, brand or manufacturer.
• A product displayed or suggested by GreenBee is not an offer by GreenBee to sell that product.
• GreenBee does not control whether a particular retailer actually has a product in stock or will sell it at a displayed price.
• Any purchase you make is a transaction between you and the relevant retailer or other seller and is subject to that seller's terms.

GreenBee is designed to give you additional information for your own decision-making. It does not guarantee the accuracy, relevance or completeness of the data displayed in the app. You remain responsible for checking whether a product is appropriate for you before buying or consuming it.

Independence

GreenBee aims to provide independent product comparisons. GreenBee has no contractual or financial ties with the producers or distributors of the products evaluated by the app that influence the evaluations.

• The GreenBee app does not display advertising.
• Retailers and brands do not pay GreenBee to obtain higher scores, better rankings, checkmarks, recommendations or alternative-product placement.
• GreenBee does not sell personal data.

While GreenBee operates independently, nothing in these terms and conditions prevents GreenBee from charging for optional services or entering into commercial relationships that do not influence the independence of the product evaluations and comparisons described above. If GreenBee's business model changes in a way that introduces commercial content, this will be appropriately identified and these terms and conditions and other relevant disclosures will be updated where required.

3. How the GreenBee app works

Product identification and receipt processing

Receipt descriptions are often abbreviated, incomplete or retailer-specific. GreenBee uses automated processing and product data to determine which product a line on a receipt most likely refers to.

Although we work to make these matches accurate, a receipt item may occasionally be matched to the wrong product, package size or product variant. Automated text recognition may also misread a price, quantity, discount, retailer or other information appearing on a receipt.

Where available, identifiers such as barcodes or GTINs can provide greater confidence in a product match than matching based only on product names, descriptions and package sizes.

You should therefore treat automated product identification as helpful information rather than an infallible record. Where a product match matters to your purchasing, dietary or other decision, check the product itself and its current label.

Product, nutrition and environmental data

GreenBee combines information from different sources. These may include:

• Information extracted from receipts.
• Data from Open Food Facts and other open or third-party datasets.
• Product catalogues and product-identification services.
• Publicly available retailer information.
• GreenBee's own product and price data.
• Community or other publicly available price information.
• Information calculated or derived by GreenBee from these sources.

Third-party and open datasets can contain errors, omissions, outdated information or information contributed by users or other parties over whom GreenBee has no control.

GreenBee may reproduce, normalise, combine, classify or interpret such information to make it useful within the service. This does not mean that GreenBee independently verifies every underlying data point.

Where information is unavailable, GreenBee may show that no score or conclusion is available rather than estimating missing information.

Our current approach to product scoring, missing data, price matching, nutrition, environmental impact and other dimensions is described in our methodology. The methodology may evolve as data sources and scientific or regulatory standards develop.

Nutrition and health information

Information in GreenBee concerning nutrition, ingredients, additives, processing level, Nutri-Score, sugar, fat, allergens or other food characteristics is provided for general informational purposes.

GreenBee does not provide medical, nutritional or dietary advice and is not a substitute for advice from a doctor, dietitian, pharmacist, allergist or other qualified professional.

A product shown as "healthier", as matching a nutrition filter, or as an alternative to another product is assessed according to the criteria used by GreenBee for that particular feature. It does not mean that the product is healthy or appropriate for every person.

In particular:

• Individual dietary and medical needs differ.
• Formulas and ingredients can change.
• Product datasets may be incomplete or outdated.
• Automated product identification can occasionally be incorrect.
• The label and allergen information on the physical product should be checked before consumption.

If you have an allergy, intolerance, medical condition or other reason why an ingredient may present a health risk, do not rely solely on GreenBee. Always check the current product packaging and seek professional advice where appropriate.

Environmental, origin and sustainability information

Environmental scores, sustainability indicators, origin data and related filters are based on the methodologies and information sources identified in the service or our methodology.

Such measures necessarily involve assumptions, classifications and incomplete datasets. Different methodologies may produce different results.

A product described as having a lower environmental impact, being organic, being locally or EU sourced, being plastic-free or meeting another sustainability-related filter should therefore be understood according to the specific definition used by GreenBee for that feature.

Where GreenBee does not have sufficient data to determine whether a product satisfies a criterion, we may show no result or indicate that comparison data is unavailable.

Prices, savings and retailer comparisons

Prices displayed by GreenBee are intended to help you compare shopping options. They may come from retailer information, public sources, receipts, community datasets or GreenBee's own price index.

Grocery prices can change frequently and may vary according to the retailer, the individual store, the location or region, the date and time, promotions, an applicable loyalty program or personalised discount, package size, product variant, and availability. Unless expressly stated otherwise, a displayed price is indicative and not a guaranteed live offer.

A statement that you "could save", that another retailer is "cheaper", or similar wording means that the available data indicates a potential saving according to GreenBee's current comparison methodology. It does not guarantee that the product will remain available at that price when you visit or order from the retailer. Always check the price, product and applicable conditions with the retailer before purchasing.

Filters, rankings and suggested alternatives

GreenBee allows you to indicate what matters to you by selecting filters or priorities. The service may then organise products and suggest alternatives according to those choices.

A GreenBee checkmark, match, ranking or alternative means that, based on the information available to GreenBee and the rules applicable to the feature, the product appears to satisfy or better satisfy the selected criterion. It is not an endorsement or guarantee of the product as a whole.

For example, a product that performs better on price may perform worse on nutrition or environmental impact. A product that meets one of your filters may not meet another. GreenBee does not calculate a universal definition of the "best" product unless a particular feature expressly states otherwise.

You decide which considerations matter to you and whether to act on a GreenBee suggestion.

4. Account in the app

Making full use of the services requires a GreenBee account.

Creating an account

Users who create an account in the app may access their account by logging in with the email address and password provided at the time of registration or through other sign-in methods we may offer.

By signing up to GreenBee, the user agrees to respect the following conditions:

• Accounts created by bots or other automated methods are not permitted.
• Unless expressly authorized, each user may register only one account.
• Unless expressly authorized, a user account may not be shared with others.

You agree to:

• Provide accurate account information.
• Keep your login credentials secure.
• Not allow another person to misuse your account.
• Inform us promptly if you believe your account has been compromised.

You must be at least 16 years old to create or use a GreenBee account.

You are responsible for keeping your login credentials confidential and should not share them with another person. If you forget your password, you may use the password-reset functionality made available by GreenBee.

If you believe that your login credentials or account have been compromised, you must notify GreenBee promptly using the contact details provided in these terms and conditions.

Please also note:

• You are responsible for activity performed through your account to the extent permitted by applicable law.
• You may terminate your account using the functionality made available in the service or by contacting us.
• Processing and deletion of personal data following account termination are governed by our privacy policy and applicable law.

Suspension or deletion of an account by GreenBee

GreenBee may suspend or terminate access to the app or delete an account where reasonably necessary, including where a user has violated these terms and conditions. GreenBee may also delete an account that has been inactive for at least one year, after giving reasonable advance notice where reasonably possible.

We may suspend or terminate access where reasonably necessary if, for example:

• You materially or repeatedly breach these terms and conditions.
• Your use creates a security risk or materially disrupts the service.
• We are legally required to do so.
• Continuing to provide the service to you is no longer reasonably possible.

Where appropriate and reasonably possible, we will give you notice and an opportunity to resolve the issue before terminating access.

Nothing in this section affects mandatory rights available to consumers under applicable law.

Closure by the user

Each user is free to close their account on the app and stop using GreenBee at any time. To do so the user may follow the deletion procedure in the app, or send an email to hello@greenbee.app indicating the wish to delete their account.

5. Your receipts

You retain any rights you have in receipts, information and other content that you submit through GreenBee.

You give GreenBee a limited right to process that information to the extent necessary to operate, secure, maintain and improve the service, as described in these terms and conditions, and our privacy policy.

You confirm that you are entitled to submit the information you provide and that your use of GreenBee will not unlawfully infringe the rights of another person.

You should avoid submitting material that is unrelated to the service or that contains unnecessary sensitive information about you or another person.

The way receipt images and extracted receipt information are technically processed is described in our privacy policy.

6. Rights and obligations of the user

Acceptable use

You may use GreenBee for normal personal use in accordance with these terms and applicable law.

You must not interfere with the proper functioning of GreenBee, in particular not:

• Use GreenBee for unlawful, fraudulent or deceptive purposes.
• Interfere with the operation or security of the service.
• Attempt to gain unauthorised access to systems, accounts or data.
• Violate GreenBee's security and authentication measures.
• Probe, scan or test GreenBee's vulnerabilities.
• Upload malware or other harmful code.
• Adopt any automated procedure to access, harvest or scrape data and/or content from GreenBee.
• Reverse engineer, decompile or otherwise attempt to derive source code except where and to the extent applicable law expressly permits this.
• Misuse GreenBee to create or distribute misleading product or price information.
• Impersonate another person.
• Use another person's personal information without a lawful basis.

We may take reasonable measures to prevent or stop misuse of the service.

You must not infringe the rights of other users, in particular not:

• Hijack any account used by another user.
• Harvest or collect any information about other users, such as their login details and other personal data.

A breach of this section may result in suspension or termination of your account in accordance with section 4.

7. Responsibilities and warranties of GreenBee

Nothing in these terms and conditions excludes or limits liability where doing so would be prohibited by applicable law, including liability for intentional misconduct or other liability that cannot lawfully be excluded.

GreenBee is responsible for providing the service with the degree of care required by applicable law. Within those limits, GreenBee is an information service and does not warrant that every item of product information, product identification, price, score, environmental measure, ingredient classification, retailer comparison or suggested alternative will always be complete, current or error-free.

In particular, GreenBee is not responsible for inaccuracies that are solely attributable to incorrect, incomplete or outdated information supplied by third-party data sources, retailers or users where GreenBee could not reasonably have prevented or corrected the error.

You remain responsible for checking information that is important to a purchasing, dietary, health, allergy or safety decision against the retailer's offer and the current product packaging.

Access to the app

We aim to keep GreenBee useful and available, but we do not promise uninterrupted or error-free operation.

We may reasonably update the service to:

• Introduce or improve functionality.
• Address security or technical issues.
• Accommodate changes in data sources or third-party services.
• Comply with law or regulatory requirements.
• Change supported devices, operating systems, countries or retailers.
• Discontinue functionality that is no longer viable.

Where applicable law requires notice of a change, we will provide it.

We may temporarily suspend access where reasonably necessary for maintenance, security or other operational reasons.

To the extent permitted by applicable law, GreenBee is not responsible for temporary unavailability caused by circumstances beyond its reasonable control, such as widespread network failures, power outages, failures of third-party infrastructure or other events of force majeure.

Access to external resources

GreenBee depends on third-party technologies, platforms and information sources. These may include app stores, hosting and infrastructure providers, email providers, analytics and error-reporting services, product-identification technology, product databases and open datasets.

Some GreenBee functions may temporarily stop working, become less accurate or change if an external service, dataset or interface changes or becomes unavailable.

References to retailers, brands, products and third-party services are used for identification and comparison purposes. Unless expressly stated otherwise, such references do not imply endorsement, sponsorship, partnership or affiliation.

App stores

If you download GreenBee through the Apple App Store, Google Play or another application marketplace, your use of that marketplace may also be subject to the marketplace provider's applicable terms.

The marketplace provider is not responsible for services provided by GreenBee except to the extent required by its own terms or applicable law.

If there is a conflict between these terms and conditions and mandatory marketplace terms applicable to distribution of the GreenBee application, those marketplace requirements will apply to the extent of that conflict.

8. Intellectual property rights

The rights of GreenBee

GreenBee, including its software, design, interface, original databases, algorithms, graphics, branding, logo and other original materials, is protected by intellectual-property and other applicable laws.

Subject to these terms and conditions, we grant you a personal, limited, non-exclusive, non-transferable and revocable licence to use the GreenBee application for its intended consumer purpose. This licence does not transfer ownership of GreenBee or any GreenBee intellectual property to you.

"GreenBee", associated logos and other GreenBee brand assets may not be used without our permission except where applicable law permits such use.

Third-party data and materials remain subject to the rights and licences of their respective owners. In particular, certain product information is sourced from Open Food Facts and is subject to the applicable open-data licensing terms.

A material infringement of GreenBee's intellectual-property rights may result in suspension or termination of your account in accordance with section 4, without prejudice to any other rights or remedies available to GreenBee under applicable law.

Third-party intellectual property rights

Third-party trademarks, logos, images, text and other materials remain the property of, or are licensed by, their respective rights holders and are protected where applicable by intellectual-property laws.

You must respect the intellectual-property rights of third parties whose content is displayed through the app.

You may not use third-party materials displayed through the app in a way that infringes applicable intellectual-property rights.

9. General provisions

Transfer of rights and obligations

We may transfer our rights and obligations under these terms and conditions as part of a merger, reorganisation, sale of business or similar transaction, provided that doing so does not reduce mandatory consumer rights. You may not transfer your account or contractual rights in a manner inconsistent with applicable law or the personal nature of the service.

Modification of the terms and conditions

We may update these terms and conditions when GreenBee changes or where necessary for legal, regulatory, security or operational reasons.

The current version will show its effective or "Last updated" date.

For material changes affecting existing users, we will provide reasonable notice where required by applicable law. If a change requires your consent, we will ask for it.

Changes will not retroactively reduce rights you have already acquired under applicable law.

Severability and nullity

If one or more clauses of these terms and conditions are found to be invalid or declared as such in application of a law, regulation or following a final decision of a competent court, the other clauses shall retain their full force and scope.

No waiver

If GreenBee does not enforce a provision of these terms and conditions immediately, this does not mean that GreenBee waives its right to enforce that provision later.

Governing law

These terms and conditions are governed by the laws of the Netherlands. If you are a consumer resident in another country, this choice of law does not deprive you of mandatory consumer protections that apply to you under the law of your country of residence.

10. Dispute resolution

If you have a complaint or dispute concerning GreenBee, we encourage you to contact us first at hello@greenbee.app and provide sufficient information for us to investigate the matter. We will make reasonable efforts to respond promptly and to resolve complaints amicably.

If a dispute cannot be resolved informally, it may be submitted to the competent court in the Netherlands. However, if you are a consumer who habitually resides in another country within the European Economic Area or another jurisdiction whose mandatory consumer-protection rules apply to you, nothing in these terms and conditions limits any right you may have under applicable law to bring proceedings before a court in your country of residence.

Where applicable, GreenBee may also participate in or refer consumers to an independent or statutory out-of-court dispute-resolution procedure. Any information that GreenBee is legally required to provide regarding such a procedure will be made available through the service or on our website.

Nothing in this section prevents either party from seeking urgent or interim relief from a competent court where this is reasonably necessary to protect its rights.
